1. Agreement
By accepting a quotation, proposal, invoice, or making payment, the Client agrees to these Terms & Conditions and authorizes SaKaFa Web Solutions (SMC-PRIVATE) LIMITED (“SaKaFa”) to provide the agreed services.
2. Scope of Services
Services are provided according to the selected package or proposal and may include, but are not limited to:
- Search Engine Optimization (SEO)
- Technical SEO
- Local SEO
- Google Business Profile (GMB) Optimization
- Answer Engine Optimization (AEO)
- Generative Engine Optimization (GEO)
- Content Optimization
- Keyword Research
- Product Listing & Optimization
- Digital Marketing
- Social Media Marketing
- Meta Ads Management
- TikTok Ads Management
- Pinterest Ads Management
- Video Editing
- Website Maintenance
- Website Development
- AI & Marketing Consultation
Any work outside the approved proposal will be quoted separately.
3. Project Duration
The project duration will follow the agreed package (monthly, 3-month, 6-month, 9-month, or custom contract).
If additional work is requested, the project timeline may be extended accordingly.
4. Payment Terms
- All invoices are payable in advance unless otherwise agreed in writing.
- Monthly retainers must be paid before the start of each service period.
- Services may be suspended if payment remains overdue.
- All payments made are non-refundable once work has commenced.
5. Advertising Budget
Advertising spend is not included in SaKaFa’s service fees.
Budgets for Meta Ads, Google Ads, TikTok Ads, Pinterest Ads, LinkedIn Ads, or any other advertising platform must be funded directly by the Client through their own advertising accounts unless otherwise agreed.
6. Client Responsibilities
The Client agrees to provide:
- Required website access
- Hosting or CMS credentials
- Google Search Console access
- Google Analytics access
- Google Business Profile access
- Advertising account access
- Product information
- Brand assets
- Images
- Logos
- Required approvals within a reasonable timeframe
Project delays caused by missing information or delayed approvals are the Client’s responsibility.
7. SEO & Marketing Disclaimer
Search engine rankings and digital marketing performance depend on numerous external factors beyond SaKaFa’s control, including:
- Search engine algorithm updates
- Competitor activities
- Market conditions
- Website history
- Industry competition
- Platform policy changes
Therefore, SaKaFa does not guarantee:
- Specific Google rankings
- First-page rankings
- Fixed traffic increases
- Specific sales or revenue targets
- Featured snippets or AI search placements
SaKaFa follows industry best practices and works to achieve measurable improvements over time.
8. Reporting
Clients will receive reports according to their selected package, which may include:
- SEO progress
- Keyword rankings
- Organic traffic
- Website performance
- Technical improvements
- Advertising performance
- Campaign analytics
9. Communication
Official communication may take place through:
- Google Meet
- Zoom
- Microsoft Teams
Business hours and response times may vary based on project requirements and working days.
10. Intellectual Property
Upon full payment, all custom-created content, graphics, reports, and deliverables specifically produced for the Client become the Client’s property.
SaKaFa retains ownership of its internal methodologies, templates, proprietary tools, processes, software, scripts, and frameworks.
11. Confidentiality
SaKaFa will treat all Client information, business data, login credentials, and project materials as confidential and will not disclose them to third parties except where required by law or with the Client’s written permission.
12. Revisions
Reasonable revisions are included where specified in the selected package.
Major redesigns, additional requests, or changes outside the agreed scope may incur additional charges.
13. Third-Party Services
SaKaFa is not responsible for interruptions or issues caused by third-party platforms, including but not limited to:
- Meta
- TikTok
- Shopify
- WordPress
- Hosting providers
- Payment gateways
- Domain registrars
14. Project Suspension & Termination
SaKaFa reserves the right to suspend or terminate services if:
- Payments remain overdue.
- The Client engages in abusive or inappropriate behavior.
- The Client requests services that violate applicable laws or platform policies.
- Required cooperation or access is repeatedly withheld.
Outstanding invoices remain payable regardless of suspension or termination.
15. Limitation of Liability
SaKaFa shall not be liable for any indirect, incidental, consequential, or business losses, including but not limited to loss of revenue, profits, business opportunities, or data resulting from the use of its services.
The maximum liability of SaKaFa shall not exceed the total fees paid by the Client for the affected service.
16. Force Majeure
Neither party shall be liable for delays or failure to perform obligations caused by circumstances beyond reasonable control, including natural disasters, cyberattacks, internet outages, government actions, pandemics, wars, labor disputes, or significant platform or search engine changes.
17. Governing Law
These Terms & Conditions shall be governed by the applicable laws of the Islamic Republic of Pakistan, unless otherwise agreed in writing between both parties.
18. Acceptance
By approving a proposal, signing an agreement, or making payment, the Client confirms that they have read, understood, and agreed to these Terms & Conditions.
19. Payment Default & Account Access
The Client is responsible for ensuring that all invoices are paid by the agreed due date. If any current or outstanding payment remains unpaid, SaKaFa Web Solutions (SMC-PRIVATE) LIMITED reserves the right to suspend all ongoing services until the outstanding balance is settled.
Where SaKaFa has administrative access to platforms, websites, hosting, or marketing accounts that are managed by SaKaFa, we reserve the right to temporarily suspend administrative access or withhold the transfer of account credentials until all outstanding payments relating to the project have been paid in full.
Access and credentials will be restored or transferred promptly once the outstanding balance has been cleared.
By engaging our services or making any payment, the Client acknowledges that they have read, understood, and agreed to these Terms & Conditions. No separate written contract is required unless mutually agreed by both parties.
